Sponsorship Terms & Conditions

These Sponsorship Terms & Conditions apply to all sponsorships delivered by The FUTR Company Pty Ltd (ABN 691 783 892), trading as FUTR.
They set out high-level expectations around sponsorship delivery, confidentiality, data use, and event operations.
Detailed commercial terms, deliverables, and rights are issued separately as part of a formal Sponsorship Agreement, including a proposal and Schedule A where applicable.
1. Sponsorship Scope & Delivery
1.1 Sponsorships cover only the specific inclusions outlined in the relevant proposal and/or Schedule A.
1.2 FUTR is responsible for the design, curation, and delivery of the agreed engagement, event, or executive roundtable.
1.3 Sponsorship fees are payable in full by the invoiced due date.
1.4 Any additional services, audience commitments, or variations outside the agreed scope must be confirmed in writing.
2. Confidentiality & Data Use
2.1 Both FUTR and the Sponsor agree to treat all non-public, commercial, or sensitive information exchanged in connection with the sponsorship as confidential.
2.2 FUTR complies with the Privacy Act 1988 (Cth) and all applicable Australian privacy regulations.
2.3 Any attendee or delegate information shared with a Sponsor is provided strictly for agreed, relevant follow-up purposes only and must not be used for mass marketing, list resale, or unrelated outreach.
2.4 Sponsors are responsible for complying with all applicable privacy and data protection laws when using any shared information.
3. Brand & Intellectual Property
3.1 Sponsors grant FUTR a limited, royalty-free licence to use their name and logo solely for the purpose of delivering and promoting the agreed sponsorship.
3.2 All FUTR event formats, frameworks, content structures, and materials remain the intellectual property of FUTR.
3.3 Sponsors may not reproduce, distribute, or repurpose FUTR content without prior written consent.
4. Event Format & Changes
4.1 FUTR may vary the event format, timing, location, speakers, or delivery method (including transitioning from in-person to virtual) where reasonably required.
4.2 Sponsorship rights will carry over to any varied event.
4.3 Variations do not entitle Sponsors to refunds where delivery remains materially consistent with the agreed sponsorship.
4.4 Any such changes will be made with the intent of preserving the overall value and integrity of the sponsorship.
5. Cancellation & Termination
Sponsor Cancellation
5.1 Sponsors may terminate a sponsorship only in the event of material breach or insolvency, subject to reasonable notice and remedy periods as set out in the formal Sponsorship Agreement.
5.2 Outside these circumstances, sponsorship fees remain payable and are non-refundable.
FUTR Cancellation
5.3 FUTR may terminate a sponsorship for non-payment, repeated breach, or insolvency.
5.4 FUTR may cancel or reschedule events for commercial, operational, or strategic reasons.
5.5 Where an event is cancelled entirely, FUTR will act in good faith to reach a fair and commercially reasonable outcome, including rescheduling or issuing a credit where appropriate.
6. Force Majeure
6.1 Neither party will be liable for delay or failure to perform obligations due to events beyond reasonable control, including (but not limited to):
natural disasters
pandemics
government restrictions
venue closures
transport or utility disruptions
6.2 Where possible, FUTR will work with Sponsors to reschedule or adapt delivery.
7. Liability & Indemnity
7.1 FUTR’s total liability is capped at the sponsorship fee paid.
7.2 Sponsors indemnify FUTR against losses arising from misuse of data, breach of these terms, or negligence.
7.3 FUTR ensures venues and suppliers maintain appropriate public liability insurance.
8. Relationship
Nothing in these terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between FUTR and the Sponsor.
9. GST & Invoicing
9.1 All fees are exclusive of GST unless stated otherwise.
9.2 FUTR will issue valid tax invoices in accordance with Australian tax law.
9.3 GST is payable in addition to the sponsorship fee.
10. Governing Law
These terms are governed by the laws of New South Wales, Australia, and subject to the exclusive jurisdiction of NSW courts.
